Terms of Use

Acceptance of These Terms

These terms govern your use of ngcontrollers.com and the NextGen client portal (together, the “Service”), operated by NextGen Controller Solutions LLC (“NextGen”, “we”, “us”). By using the Service you accept these terms. If you do not accept them, do not use the Service.

What the Service Is

NextGen provides outsourced Controller and CFO advisory services. This website presents information about those services. The client portal lets clients sign in, connect an accounting system, submit information to us, and review the analyses we prepare. Our engagement for any particular client is governed by a separate written engagement agreement; where that agreement and these terms address the same subject, the engagement agreement controls.

Accounts and Access

Portal accounts are issued to identified individuals. You are responsible for keeping your sign-in credentials confidential and for activity that occurs under your account. Do not share your account. Tell us promptly at support@ngcontrollers.com if you believe your account has been used without your authorization. We may suspend an account where we reasonably believe it is being misused or that access presents a security risk.

Your Responsibilities for Information You Provide

You are responsible for the accuracy and completeness of the information you give us and for having the authority to give it. In particular, you confirm that you are authorized to connect any accounting system you connect, and to permit us to access the information in it. Our analyses reflect the information available to us; incomplete or inaccurate source information produces incomplete or inaccurate output.

QuickBooks Online and Other Third-Party Services

Connecting QuickBooks Online is optional and is initiated by you. The connection is authorized through Intuit, and your use of QuickBooks Online remains governed by your agreement with Intuit. Our access is limited to reading a fixed set of accounting reports and your company information; we cannot write to, change or delete anything in your QuickBooks company. You may end our access at any time — see Disconnecting QuickBooks Online. We are not responsible for the availability, accuracy or acts of third-party services, and a change made by a third-party provider may affect what the Service can do.

Financial Information and No Professional Advice

Content on this website is general in nature and does not constitute financial, legal, accounting or tax advice. Analyses delivered through the portal are prepared for the client they are addressed to, in the context of that engagement, and are informational inputs to your own decisions — they are not an audit, a review, a compilation, an attestation, or a substitute for your own judgment or that of your legal or tax advisors. Do not rely on the Service as the sole basis for a business decision.

Acceptable Use

You agree not to: use the Service unlawfully or in violation of a third party’s rights; attempt to gain unauthorized access to the Service, other accounts, or any underlying system; probe, scan or test the security of the Service without our written permission; interfere with or disrupt the Service; scrape or bulk-extract content; or use the Service to store or transmit malicious code.

Intellectual Property

All branding, content, software and design in the Service belong to NextGen Controller Solutions LLC unless otherwise noted, and are protected by intellectual property laws. You may use the Service and the materials we deliver for your own internal business purposes. You may not copy, redistribute, resell or create derivative works from them without our written permission. Information you provide to us remains yours.

Availability and Changes to the Service

We may change, add to, suspend or discontinue parts of the Service, and we may perform maintenance that makes it temporarily unavailable. We do not guarantee uninterrupted or error-free availability. Where a change materially affects a client engagement, we will communicate it through the engagement.

Disclaimers

Except as expressly stated in a written engagement agreement, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or that results obtained from it will be accurate or complete.

Limitation of Liability

To the maximum extent permitted by law, NextGen will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising out of or relating to the Service. Nothing in these terms limits liability that cannot be limited under applicable law. Liability arising from a client engagement is governed by that engagement agreement.

Termination and What Happens to Your Information

You may stop using the Service at any time, disconnect any connected accounting system, and ask us to close your portal account. We may suspend or terminate access for breach of these terms, for security reasons, or on ending of the engagement. On termination, we destroy stored accounting-system credentials and handle remaining information as described in our Privacy Policy — including honoring deletion requests subject to applicable legal, contractual, security and record-retention requirements.

Changes to These Terms

We may update these terms as the Service changes. Updates will be posted on this page and the date below will be updated. Continued use after an update constitutes acceptance of the current version.
